The Board of Directors shall manage the activities, properties and affairs of the Chapter. The number of elected Directors shall be six. The President, Vice-President, Secretary, Treasurer, and Past President and elected Directors shall constitute an 11-member Board. All Directors shall be members in good standing. There shall be no more than three members who are sustaining members and only one sustaining member may be an officer.
The President, Vice President, Secretary, Treasurer, and directors shall be elected by majority vote of the members casting their vote through completion and transmittal of their mail ballot postmarked five calendar day prior to the annual business meeting. All officers and directors shall be elected to two year terms three of the director terms shall expire each year. Directors may be re-elected to the position. If a Director is elected to an officer position, the Board vacancy shall be filled by the election of the members for the unexpired portion of the term.
The Chapter President shall appoint four members in good standing to serve on a committee for the purpose of nominating officers and Directors for the ensuing year. The committee shall submit its recommendations to the Board of Directors, in advance of the annual business meeting of the Chapter. The past President shall be a member of the Nominating Committee and shall serve as its presiding officer. Notice of nominations shall be made known to the membership thirty days in advance of the annual business meeting. When possible, Directors shall be nominated from a geographic area not already represented.
